The Supplier together with the offer sends the following documents:

1. Current extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations (USR) or an extract from another official state register of entrepreneurs (in the case of a Supplier registered outside of Ukraine),

2. Power of attorney for the Supplier's representative - Signed in accordance with the rules of the Supplier's representation or by the Supplier's proxy authorized to grant further powers of attorney (in this case the power of attorney of the person who granted the power of attorney to the person submitting the offer on the Purchasing Platform should also be sent with the offer),

3. The Statute or founding agreement of the Supplier,

4. Supplier's statement on relations with the Cersanit Group,

5. Licenses and permits for conducting the relevant type of commercial activity - if the activity related to the subject of procurement requires appropriate licenses or permits.

The Supplier who did not make deliveries to the Cersanit Group company (new supplier) also encloses the following documents to the offer:

1. Certificate of tax residence - in the case of a foreign Supplier,

2. Supplier's bank account statement - for its effectiveness, the statement should be signed in accordance with the principles of representation of the Supplier or by the Supplier's representative (in this case the power of attorney granted to the person signing the statement should also be sent along with the offer).

By submitting an offer, the Supplier confirms that he is aware and informed of the following:

1. The procedure is carried out in accordance with the provisions of the Civil Code of Ukraine, the Commercial Code of Ukraine, in particular in the part of the general provisions on the contract, other normative legal acts of Ukraine.

2. The terms of the Civil Code of Ukraine, the Commercial Code of Ukraine, other normative legal acts of Ukraine apply to the Agreement concluded between the Parties in that part that is not regulated separately by the Parties.

3. Submitting an offer is equivalent to an offer to enter into an Agreement in accordance with Art. 641 of the Civil Code of Ukraine. The selection of the appropriate offer indicates that accord has been reached regarding the conclusion of the Agreement.

4. If the subject of the Bidding Procedure is a Work within the meaning of the Law of Ukraine «On Copyright and Related Rights» 2811-IX dated December 1, 2022, the condition for concluding the Agreement is to send the Agreement on the transfer of property copyright to the work signed by the Supplier according to the established model to the following address: 11725, Ukraine, Zhytomyr region, Zvyagel district, village Chizhivka, str. Chyzhivska, 4 with the name of an employee of the Cersanit Group company, which conducts the relevant procedure. Failure to sign and send the Agreement on the transfer of property copyrights to the work to the specified address will result in the Parties not concluding the Agreement.

5. The Supplier voluntarily gives his consent to the processing of his personal data. The terms «personal data», «processing of personal data» in this paragraph are understood in the meaning specified in Article 2 of the Law of Ukraine «On the Protection of Personal Data» No. 2297-IV dated June 1, 2010. The Party that received personal data is obliged to ensure their protection against illegal processing and illegal access to them in accordance with the requirements of Art. 24 of the Law of Ukraine «On Protection of Personal Data» and other requirements stipulated by the current legislation of Ukraine.

6. All information that became known to the Supplier in the process of participating in the procedure, in particular, but not exclusively: any information about any company of the Cersanit Group, the subject of the purchase, the terms of the Agreement, the conditions of participation in the procedure, the list of necessary documents, the procedure itself etc., is confidential information within the meaning of the Law of Ukraine «On Information» No. 2657-XII dated October 2, 1992, and is not subject to disclosure both during the procedure and 5 years after its completion.

7. The Supplier undertakes not to infringe and to respect copyright and trademark rights for goods and services belonging to the companies of Cersanit Group.

8. The Supplier guarantees that, at the time of submission of the relevant offer, it has all the necessary licenses and permits required for carrying out the relevant type of commercial activity, if the activity related to the subject of procurement requires relevant licenses or permits. All negative consequences of the possible lack of relevant licenses and permits are borne solely by the Supplier.
